In short: you own and stand behind your content, we present it faithfully and keep participants' data safe, organisations use it under licence, and you receive anonymised insights. Medical content must be accurate, reviewed and never promotional.
These Campaign Partner Terms ("Partner Terms") apply between Scripteco Technologies Private Limited ("Askofy", "we") and any organisation or person that provides, reviews, sponsors or co-brands campaign content on Askofy ("Partner", "you"), for example a medical trust that writes a health-awareness campaign. A signed partnership agreement, if any, prevails over these Partner Terms on the points it covers.
1. Your role
- You provide content: text, acronyms, questions and answers, explanations, images, logos and marks. You may also review or approve content we prepare with you.
- You are named in the campaign, for example "Campaign by …" or "An initiative of …".
- Organisations subscribe to campaigns and run them for their own people. They are responsible for their participants' data. You are not, unless the campaign says otherwise and the law allows.
2. Licence to your content
You keep ownership of your content and marks. You give Askofy a worldwide, non-exclusive, royalty-free licence, for the term of the partnership and the wind-down in section 9, to:
- host, display and distribute the content to subscribing organisations and their participants
- adapt its format for the platform, for example splitting it into steps, cards and animations, voice narration, pronunciation, translation and accessibility, without changing its meaning
- show your name and logo on campaigns, certificates, share cards, posters and the campaign's marketing pages
We will follow your reasonable brand guidelines, and will not use your marks for anything else without your permission.
3. Accuracy and medical content
For health, safety or other expert content, you confirm that:
- Accuracy: it is accurate, current and evidence-based. Figures and claims can be supported by published sources, which you will provide on request.
- Review: it has been reviewed by suitably qualified professionals.
- Not promotion: it is educational, not promotional. It does not promote a product, service, hospital or practitioner as a cure. It does not discourage people from seeking emergency or professional care, and it discloses any sponsorship.
- Advertising and professional rules: it follows the advertising and professional-conduct laws and codes that apply to you. In India these include the Consumer Protection Act, 2019, the Drugs and Magic Remedies (Objectionable Advertisements) Act, 1954, the ASCI Code, and the National Medical Commission's professional-conduct rules.
Approval: before a campaign using your content is published, you or your named reviewer approve the final version, including any animations or simplifications we made. We keep a record of the approved version. Askofy is responsible for presenting the approved content faithfully. You are responsible for its clinical and factual accuracy.
4. Corrections and safety
- Urgent corrections: if you find content that is wrong or unsafe, tell us at hello@askofy.com. We correct urgent safety issues within 2 working days, and other corrections at the next update.
- Pausing: we may pause a campaign at once if content appears unsafe or unlawful, and will work with you to fix it.
- Certificates: those already issued remain valid, unless the error was serious enough to withdraw them.
5. Data and insights
- Insights: you receive anonymised, aggregated campaign insights, such as how many people completed it and which questions were missed most. No group smaller than 10 people is reported, and the insights never include names or contacts. See the Research Data Policy.
- Personal data: you receive participants' personal data only if the campaign's Terms & Conditions say so, the participant agreed, and we have a written data-sharing agreement with you.
- Updates to participants: if participants tick a box to receive updates from you, you become responsible (controller or Data Fiduciary) for their contact details for that purpose. You must:
- use them only for what they agreed to
- include an easy way to unsubscribe, and honour it
- follow the data-protection and anti-spam laws that apply
- Research: published research using campaign data needs both parties' written approval, follows applicable ethics rules (such as the ICMR guidelines in India), and never attempts to re-identify anyone.
6. Fees
Unless agreed in writing, there are no fees either way under these Partner Terms. Any revenue share, sponsorship or paid campaign is set out in a separate written agreement.
7. Confidentiality
Each party keeps the other's non-public information confidential and uses it only for the partnership.
8. Warranties, indemnity and liability
- What you confirm: you have all rights needed in your content and marks, and the permissions of anyone appearing in them, and your content follows section 3.
- Your indemnity: you will protect Askofy and the organisations running your campaigns against third-party claims that your content infringes someone's rights, or that it is inaccurate, misleading or unlawful.
- Our indemnity: we will protect you against third-party claims that the Askofy platform, as we provide it, infringes their intellectual property rights.
- Limits:
- Neither party is liable for indirect or consequential loss.
- Each party's total liability is limited to ₹1,00,000 or the fees paid under the partnership in the previous 12 months, whichever is higher.
- These limits do not apply to indemnities, breach of confidentiality, or liability that cannot be limited by law.
9. Term and ending
- Duration: these Partner Terms last while your content is on Askofy.
- Ending: either party may end the partnership with 30 days' written notice, or immediately for a serious breach.
- After it ends: new subscriptions to your campaigns stop. Organisations' current campaign periods may run to their end, up to 6 months. Certificates already issued stay valid and verifiable. We stop using your marks for anything new.
10. General
These Partner Terms are governed by the laws of India. Disputes go to arbitration in Mumbai under the Arbitration and Conciliation Act, 1996, as set out in the Organisation Terms, with the same rules on assignment, notices and force majeure.
